We consider our marketplace model the best way to offer valuable educational content to our users. We need rules to keep our platform and services safe for you, us, and the instructor community; hence, this page explains the terms by which you may use our online and/or mobile services, website, and software provided on or in connection with the service (collectively the “Service”). These Terms apply to all your activities on the Codesideacademy website, the Codesideacademy mobile applications, our Desktop applications, our APIs, and other related services (“Services”). You must also agree to the Instructor Agreement if you are an instructor on the Codesideacademy platform. We also provide details regarding processing the personal data of our students and instructors in our Privacy Policy. By accessing or using the Service, you signify that you have read, understood, and agree to be bound by this Terms of Use (“Agreement”) and to the collection and use of your information as outlined in the Codesideacademy Privacy Policy, whether or not you are a registered user of our Service. This Agreement applies to all visitors, organizations, users, and others who access the Service (“Users”).
PLEASE IT IS IMPORTANT THAT YOU READ THIS AGREEMENT CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION. THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION OF DISPUTES PROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES RATHER THAN JURY TRIALS OR CLASS ACTIONS
Codesideacademy provides an online interactive platform for taking coding classes.
A. Eligibility This is a contract between you and Codesideacademy. It's important that you read and agree to these terms before using the Codesidecademy Service. If you do not agree, you may not use the Service. If you are a child under 13 years of age, It's required that we seek your parent or guardian’s consent before allowing you to use the Service. Supplemental terms and conditions may apply to some Services, such as rules for a particular exercise, promotion, service, or other activity or terms that may accompany certain content accessible through the Services. Supplemental terms and conditions will be disclosed to you in connection with such exercises, services, or activities. Any supplemental terms and conditions are in addition to these terms and, in the event of a conflict, prevail over these terms. The Service is not available to any Users previously removed from the Service by Codesideacademy *
B. Codesidecademy Service Subject to the terms and conditions of this Agreement, you are hereby granted a non-exclusive, limited, non-transferable, freely revocable license to use the Service for your personal, noncommercial use only and as permitted by the features of the Service. Codesidecademy reserves all rights not expressly granted herein in the Service and the Codesideacademy Content (as defined below). Codesideacademy reserves the right to terminate this license at any time for any reason or no reason.
C. Codesideacademy Accounts You need to have an account for most activities on our platform. We implore you to use a strong password (passwords that use a combination of upper and lower case letters, numbers, and symbols) and keep it safe because you’re responsible for all activity associated with your account. If you suspect someone else is using your account, you must notify us by contacting our Support Team. We may request some information from you to confirm that you are indeed the owner of your account. You need an account for most activities on our platform, including purchasing and enrolling in a course or submitting a course for publication. When setting up and maintaining your account, you must provide and continue to provide accurate and complete information, including a valid email address that will be associated with your account. By providing Codesideacademy your email address, you consent to us using the email address to send you Service-related notices, including any notices required by law, in lieu of communication by postal mail. We may also use your email address to send you other messages, such as changes to features of the Service and special offers. If you do not want to receive such email messages, you may opt out or change your preferences on your “account settings” page. Opting out may prevent you from receiving emails regarding updates, improvements, or offers. You have complete responsibility for your account and everything that happens on your account. You are solely responsible for the activity that occurs on your account, including for any harm or damage (to us or anyone else) caused by someone using your account without your permission. Hence, the more reason why you need to be careful with your password. Codesidecademy will NOT be liable for any losses caused by any unauthorized use of your account. You may not transfer your account to someone else or use someone else’s account without their permission. If you contact us to request access to an account, we will not grant you such access unless you can provide us with the login credential information for that account. In the event of a user's death, that user's account will be closed. If you share your account login credential with someone else, you are responsible for what happens with your account, and Codesideacademy will not intervene in disputes between students or instructors who have shared account login credentials. You can terminate your account at any time by following the steps here. Check our Privacy Policy to see what happens when you terminate your account. By connecting to Codesideacademy with a third-party service (for example, Facebook or Linkedin), you give us permission to access and use your information from that service as permitted by that service and to store your login credentials for that service. D. Organization Accounts If you are an organization seeking to utilize the Service for educational purposes, you may create accounts for your Students/workers on their behalf. By submitting Student/workers information to Codesidecademy, you expressly grant, and you represent and warrant that you have all rights necessary to grant to Codesidecademy a non-exclusive, royalty-free, worldwide license during the term of the Agreement to use, transmit, distribute, modify, reproduce, display, create derivative works of, and store the Student data solely for the purposes of (i) providing the Services as contemplated in these Terms, and (ii) enforcing its rights under the Agreement. We recommend that organizations provide a copy of our Privacy Policy to workers, parents, and guardians.
When you enroll in a course, you get a license from us to view it via the Codesideacademy Services and no other use. Don’t try to transfer or resell courses in any way. We grant you an access license for the purchased duration, except when we must disable the course for legal or policy reasons. Under our Instructor Agreement, when instructors publish a course on Codesideacademy, they grant Codesideacademy a license to offer a license to the course to students. This means that we have the right to sub-license the course to the students who enroll in the course. As a student, when you enroll in a course, whether a free or paid course, you get a license from Codesideacademy to view the course via the Codesideacademy platform and Services, and Codesideacademy is the licensor of record. Courses are licensed and not sold to you. This license does not give you any right to resell the course in any manner (including by sharing account information with a purchaser or illegally downloading the course and sharing it on torrent sites). As a student, when you enroll in a course, you can not download our video. In legal, more complete terms, Codesideacademy grants you (as a student) a limited, non-exclusive, non-transferable license to access and view the courses and associated content for which you have paid all required fees, solely for your personal, non-commercial, educational purposes through the Services, in accordance with these Terms and any conditions or restrictions associated with a particular course or feature of our Services. All other uses are expressly prohibited. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any course unless we give you explicit permission to do so in a written agreement signed by a Codesideacademy authorized representative. This also applies to content you can access via any of our APIs.
A. User Content Some areas of Codesideacademy Service allow Users to post content such as profile information, comments, questions, course content, and other content or information (any such materials a User submits, posts, displays, or otherwise makes available on the Service “User Content”). Access to these features may be subject to age restrictions and subscriptions. We claim no ownership rights over User Content created by you. The User Content you create remains yours; however, by sharing User Content through the Service, you agree to allow others to view, edit, and/or share your User Content in accordance with your settings and this Agreement. Codesideacademy has the right (but not the obligation) in its sole discretion to remove any User Content that is shared via the Service. You agree not to post User Content that: (i) may create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to you, to any other person, or to any animal; (ii) may create a risk of any other loss or damage to any person or property; (iii) seeks to harm or exploit children by exposing them to inappropriate content, asking for personally identifiable details or otherwise; (iv) may constitute or contribute to a crime or tort; (v) contains any information or content that we deem to be unlawful, harmful, abusive, racially or ethnically offensive, defamatory, infringing, invasive of personal privacy or publicity rights, harassing, humiliating to other people (publicly or otherwise), libelous, threatening, profane, or otherwise objectionable; (vi) contains any information or content that is illegal (including, without limitation, the disclosure of insider information under securities law or of another party’s trade secrets); (vii) contains any information or content that you do not have a right to make available under any law or under contractual or fiduciary relationships; or (viii) contains any information or content that you know is not correct and current or (ix) violates any school or other applicable policy, including those related to cheating or ethics. You agree that any User Content that you post does not and will not violate third-party rights of any kind, including without limitation any Intellectual Property Rights (as defined below) or rights of privacy. Codesideacademy reserves the right, but is not obligated, to reject and/or remove any User Content that Codesidecademy believes, in its sole discretion, violates these provisions. You understand that publishing your User Content on the Service is not a substitute for registering it with any Copyright office. In connection with your User Content, you affirm, represent, and warrant the following: Your User Content and Codesidecademy’s use thereof as contemplated by this Agreement, and the Service will not violate any law or infringe any rights of any third party, including but not limited to any Intellectual Property Rights and privacy rights. Codesidecademy may exercise the rights to your User Content granted under this Agreement without liability for payment of any guild fees, residuals, payments, fees, or royalties payable under any collective bargaining agreement or otherwise. To the best of your knowledge, all your User Content you provide to us is truthful and accurate. You have the written consent of each and every identifiable natural person in the User Content, if any, to use such person’s name or likeness in the manner contemplated by the Service and this Agreement, and each such person has released you from any liability that may arise in relation to such use. Codesideacademy takes no responsibility and assumes no liability for any User Content that you or any other User or third party posts or sends over the Service. You shall be solely responsible for your User Content and the consequences of posting or publishing it. You agree that we are only acting as a passive conduit for your online distribution and publication of your User Content. You understand and agree that you may be exposed to User Content that is inaccurate, objectionable, inappropriate for children, or otherwise unsuited to your purpose. You agree that Codesideacademy shall not be liable for any damages you allege to incur as a result of User Content. B. Codesideacademy's rights to the content you post By posting any User Content on the Codesideacademy Service, you expressly grant, and you represent and warrant that you have all rights necessary to grant to Codesidecademy a royalty-free, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, syndicate, publicly perform, publicly display, and make derivative works of all such User Content and your name, voice, and/or likeness as contained in your User Content, in whole or in part, and in any form, media or technology, whether now known or hereafter developed, for use in connection with the Service and Codesidecademy’s (and its successors’ and affiliates’) business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each User of the Service a non-exclusive license to access your User Content through the Service, and to use, display, reproduce and perform such User Content solely as permitted through the functionality of the Service and under this Agreement.
When you make a payment, you agree to use a valid payment method. Codesideacademy doesn't offer a money-back guarantee refund or credit for all course purchases. A. Billing Policies. Certain aspects of the Service may be provided for a fee or other charge. If you elect to use paid aspects of the Service, you agree to the pricing and payment terms, as we may update them from time to time. Codesideacademy reserves the right to add new services for additional fees and charges or amend fees and charges for existing services at any time at its sole discretion. Any change to our pricing or payment terms shall become effective in the billing cycle following notice of such change to you as provided in this Agreement. B. Pricing, The prices of courses on Codesideacademy are determined based on our Pricing and Promotions Policy. The price of a course offered on the Codesideacademy website will be the same as that offered on our mobile or proposed desktop applications. We regularly run promotions and sales for our courses, and certain courses may only be available at discounted prices for a specified period. The price applicable to a course will be the price at the time you complete your purchase of the course (at checkout). Any price offered for a particular course may also be different when you are logged into your account from the price available to users who aren’t registered or logged in because some of our promotions may only be available to new users only. If you are logged into your account, the listed currency you see is based on your location when you created your account. If you are not logged into your account, the price currency is based on the country where you are located. We do not enable users to see pricing in other currencies. If you are a student in a country where the use and sales tax, goods and services tax, or value-added tax is applicable to consumer sales, we are responsible for collecting and remitting that tax to the proper tax authorities. In certain countries, the price you see may include such taxes. C. Payments You agree to pay the fees for courses that you purchase, and you authorize us to charge your debit or credit card. Codesideacademy works with a third-party payment processing partner (Paystack) to offer you the most convenient payment methods and to keep your payment information secure. Check out our Privacy Policy for more details. When you make a purchase, you agree not to use an invalid or unauthorized payment method. If your payment method fails and you still get access to the course you are enrolling in, you agree to pay us the corresponding fees within thirty (30) days of notification from us. We reserve the right to disable access to any course for which we have not received adequate payments. D. Renewals. Codesideacademy subscriptions automatically renew your payment for your account.* E. No Refunds. You may cancel your Codesideacademy account at any time; however, there are no refunds for cancellation. Codesideacademy won't offer partial, pro rata refunds for Codesideacademy’s early suspension, termination, or cancellation of a paid program. In the event that you cancel your account, or Codesideacademy suspends or terminates your account or this Agreement for your breach of this Agreement, you understand and agree that you shall receive no refund or exchange for any Codesideacademy Indicators, any unused time on a subscription, any license or subscription fees for any portion of the Service, any content or data associated with your account, or for anything else. We reserve the right to apply a credit or a refund, at our discretion, depending on the capabilities of our payment processing partners or the platform from which you purchased your course (website, mobile, or Desktop app). F. Risk of Loss. All products purchased from or via the Service are transported and delivered to you by an independent carrier not affiliated with, or controlled by, Codesideacademy. The title to products purchased on the Service, as well as the risk of loss for such products, passes to you when Codesideacademy or our supplier delivers these items to the carrier.
Some aspects of the Service may allow you to obtain certain reputational or status indicators (for example, points, certificates, and badges for completing courses) (“Codesideacademy Indicators”). You understand and agree that regardless of the terminology used, Codesideacademy Indicators represent a limited license right governed solely by the terms of this Agreement and available for distribution at Codesideacademy’s sole discretion. Codesideacademy Indicators are not redeemable for any sum of money or monetary value from Codesideacademy at any time. You acknowledge that you do not own the account you use to access the Service, nor do you possess any rights of access or rights to data stored by or on behalf of Codesideacademy on Codesideacademy servers, including without limitation any data representing or embodying any or all of your Codesideacademy Indicators. You agree that Codesideacademy has the right to manage, regulate, control, modify and/or eliminate Codesideacademy Indicators as it sees fit in its sole discretion, in any general or specific case, and that Codesideacademy will have no liability to you based on its exercise of such right. All data on Codesideacademy’s servers are subject to deletion, alteration, or transfer. NOTWITHSTANDING ANY VALUE ATTRIBUTED TO SUCH DATA BY YOU OR ANY THIRD PARTY, YOU UNDERSTAND AND AGREE THAT ANY DATA, ACCOUNT HISTORY, AND ACCOUNT CONTENT RESIDING ON CODESIDEACADEMY’S SERVERS, MAY BE DELETED, ALTERED, MOVED, OR TRANSFERRED AT ANY TIME FOR ANY REASON IN CODESIDEACADEMY’S SOLE DISCRETION, WITH OR WITHOUT NOTICE AND WITH NO LIABILITY OF ANY KIND. CODESIDEACADEMY DOES NOT PROVIDE OR GUARANTEE, AND EXPRESSLY DISCLAIMS, ANY VALUE, CASH OR OTHERWISE, ATTRIBUTED TO ANY DATA RESIDING ON CODESIDEACADEMY’S SERVERS
Codesideacademy has its own designated instructors, and we enable our instructors and students to interact for teaching and learning. Like other platforms where people can post content and interact, some things can go wrong, and you use Codesideacademy at your own risk. Our platform model means we reserve the rights to review or edit the courses for legal issues, though we are not in a position to determine the legality of course content. If you enroll in a course, you rely on any information provided by an instructor at your own risk. By using the Services, you may be exposed to content that you consider offensive, indecent, or objectionable. Codesideacademy has no responsibility to keep such content from you and no liability for your access or enrollment in any course to the extent permissible under applicable law. This also applies to any courses relating to health, wellness, and physical exercise. You acknowledge the inherent risks and dangers in the strenuous nature of these courses, and by enrolling in such courses, you choose to assume those risks voluntarily, including the risk of illness, bodily injury, disability, or death. You assume full responsibility for the choices you make before, during, and after your enrollment in a course. When you interact directly with a student or an instructor, you must be careful about the types of personal information that you share. We do not control what students and instructors do with the information they obtain from other users on the platform. You should not share your email or other personal information for your safety. When you use our Services, you will find links to other websites that we don’t own or control. We are not responsible for the content or any other aspect of these third-party sites, including their collection of information about you. You should also read their terms and conditions and privacy policies.
We care a lot about the privacy of our Users. You understand that by using the Services, you consent to the collection, use, and disclosure of your personally identifiable information and aggregate data as outlined in our Privacy Policy, and to have your personally identifiable information collected, used, transferred to, and processed in Nigeria.
Codesideacademy cares about the integrity and security of your personal information. However, we cannot guarantee that unauthorized third parties will never be able to defeat our security measures or use your personal information for improper purposes. You acknowledge that you provide your personal information at your own risk.
These Terms are like any other contract, and they are boring but important legal terms that protect us from the countless things that could happen and clarify the legal relationship between you and us.
A. Binding Agreement You agree that by registering, accessing, or using our Services, you agree to enter into a legally binding contract with Codesideacademy. If you do not agree to these Terms, do not register, access, or otherwise use any of our Services. If you are accepting these Terms and using our Services on behalf of a company, organization, government, or other legal entity, you represent and warrant that you are authorized to do so. Any version of these Terms in a language other than English is provided for convenience, and you understand and agree that the English language will control if there is any conflict. If any part of these Terms is found invalid or unenforceable by applicable law, then that provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of these Terms will continue in effect. Even if we are delayed in exercising our rights or fail to exercise a right in one case, it doesn’t mean we waive our rights under these Terms, and we may decide to enforce them in the future. If we decide to waive any of our rights in a particular instance, it doesn’t mean we waive our rights generally or in the future.
B. Disclaimers
It may happen that our platform is down, either for planned maintenance or because something goes down with the site. It may happen that one of our instructors is making misleading statements in their course. It may also happen that we encounter security issues. These are just examples. You accept that you will not have any recourse against us in any of these types of cases where things don’t work out right. In legal, complete language, the Services and their content are provided on an “as is” and “as available” basis. We (and our affiliates, suppliers, partners, and agents) make no representations or warranties about the suitability, reliability, availability, timeliness, security, lack of errors, or accuracy of the Services or their content and expressly disclaim any warranties or conditions (express or implied), including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We (and our affiliates, suppliers, partners, and agents) make no warranty that you will obtain specific results from the use of the Services. Your use of the Services (including any content) is entirely at your own risk. Some jurisdictions don’t allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. We may decide to cease making certain features of the Services available at any time and for any reason. Under no circumstances will Codesideacademy or its affiliates, suppliers, partners, or agents be held liable for any damages due to such interruptions or lack of availability of such features. We are not responsible for delay or failure of our performance of any of the Services caused by events beyond our reasonable control, like an act of war, hostility, or sabotage; natural disaster; electrical, internet, or telecommunication outage; or government restrictions.
C. Limitation of Liability
There are inherent risks in using our Services, for example, if you enroll in an exercise course and injure yourself. You fully accept these risks, and you agree that you will have no recourse to seek damages against even if you suffer loss or damage from using our platform and Services. In legal, more complete language, to the extent permitted by law, we (and our group companies, suppliers, partners, and agents) will not be liable for any indirect, incidental, punitive, or consequential damages (including loss of data, revenue, profits, or business opportunities, or personal injury or death), whether arising in contract, warranty, tort, product liability, or otherwise and even if we’ve been advised of the possibility of damages in advance.
D. Indemnification If you behave in a way that gets us in legal trouble, we may exercise legal recourse against you. You agree to indemnify, defend (if we so request), and hold harmless Codesideacademy, our group companies, and their officers, directors, suppliers, partners, and agents from and against any third-party claims, demands, losses, damages, or expenses (including reasonable attorney fees) arising from (a) the content you post or submit, (b) your use of the Services (c) your violation of these Terms, or (d) your violation of any rights of a third party. Your indemnification obligation will survive the termination of these Terms and your use of the Services.
E. Applicable Law and Jurisdiction These Terms and Conditions of Use shall be interpreted and governed by the laws in force in the Federal Republic of Nigeria. Subject to the Arbitration section below, each party hereby agrees to submit to the jurisdiction of the courts of Nigeria and to waive any objections based upon venue.
F. No Assignment You may not assign or transfer these Terms (or the rights and licenses granted under them). For example, if you registered an account as an employee of a company, your account cannot be transferred to another employee. We may assign these Terms (or the rights and licenses granted under them) to another company or person without restriction. Nothing in these Terms confers any right, benefit, or remedy on any third-party person or entity. You agree that your account is non-transferable and that all rights to your account and other rights under these Terms terminate upon your death.
G. Relationship Between Us You and we agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us.
If there’s a dispute, our Support Team is happy to help resolve the issue. A. The Arbitration Process Any controversy, claim, or dispute arising out of or relating to these Terms and Conditions of Use will be referred to and finally settled by private and confidential binding arbitration before a single arbitrator held in Nigeria in English and governed by Nigeria law pursuant to the Arbitration and Conciliation Act Cap A18 Laws of the Federation of Nigeria 2004, as amended, replaced or re-enacted from time to time. The arbitrator shall be a legally trained person who has experience in the information technology field in Nigeria and is independent of either party. Notwithstanding the foregoing, the Site reserves the right to pursue the protection of intellectual property rights and confidential information through injunctive or other equitable relief through the courts.
B. No Class Actions We both agree that we can each only bring claims against the other on an individual basis. This means: (a) neither of us can bring a claim as a plaintiff or class member in a class action, consolidated action, or representative action; (b) an arbitrator can’t combine multiple people’s claims into a single case (or preside over any consolidated, class, or representative action); and (c) an arbitrator’s decision or award in one person’s case can only impact that user, not other users, and can’t be used to decide other users’ disputes. If a court decides that this “No class actions” clause isn’t enforceable or valid, then this “Dispute Resolution” section will be null and void, but the rest of the Terms will still apply.
C. Changes Notwithstanding the “Updating these Terms” section below, if Codesideacademy changes this "Dispute Resolution" section after the date you last indicated acceptance to these Terms, you may reject any such change by providing Codesideacademy written notice of such rejection by mail or hand delivery to: within 30 days of the date such change became effective, as indicated by the "last updated on" language above. To be effective, the notice must include your full name and clearly indicate your intent to reject changes to this "Dispute Resolution" section. By rejecting changes, you are agreeing that you will arbitrate any dispute between you and Codesideacademy in accordance with the provisions of this "Dispute Resolution" section as of the date you last indicated acceptance to these Terms.
From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and Codesideacademy reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If we make any material change, we will notify you using prominent means such as by email notice sent to the email address specified in your account or by posting a notice through our Services. Modifications will become effective on the day they are posted unless stated otherwise. Your continued use of our Services after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms.
